License Agreement: This License Agreement ("License Agreement") is a legal agreement between you (the "Licensee") and Paragon Resources, Inc.. ("Licensor") for the Optimize Your Business™, A Virtual Practice Management Workshop which consists of a CDROM, electronic documentation and proprietary trade secrets ("OYB"). By using OYB, you agree to be bound by the terms of this License Agreement. If you do not agree to the terms and conditions of this License Agreement, do not register it or enter the Activation Key provided to you by email. Instead, return it in resalable condition to the place of purchase. THANK YOU FOR LICENSING THE USE OF OYB. IT IS IMPORTANT THAT YOU (THE "LICENSEE") READ THIS NOTICE CAREFULLY. THESE ARE THE ONLY TERMS AND CONDITIONS APPLICABLE TO YOUR RIGHTS WITH RESPECT TO OYB. OYB IS PROTECTED BY COPYRIGHT LAWS AND INTERNATIONAL COPYRIGHT TREATIES, AS WELL AS OTHER INTELLECTUAL PROPERTY LAWS AND TREATIES. THE CONTENTS OF THIS CDROM PRODUCT IS LICENSED, NOT SOLD. 1. LICENSE AND OWNERSHIP Licensor hereby grants to Licensee a personal, non-exclusive, non-transferable license (a "License") to use one (1) copy of the OYB according to the terms set forth below. OYB is a business program designed to help investment professionals with the management of an investment consulting practice. Licensor is the exclusive owner of OYB, its copyrights, patents, and other intellectual rights. Licensee is not the owner of OYB or any of its components. 2. SCOPE OF USE Licensee may use one copy of OYB for his/her personal use and the use of Licensee's own individual business practice team members defined as: Sales Assistant, Client Service Associate, Technical Analyst, Junior Advisor, and Marketing Associate, and formalized partnerships bound by a written legal agreement. Activation Key must be entered for each personal computer owned by Licensee for usage by individuals as defined above. Printing of electronic documentation is allowed by the individuals as defined above. In the event of a dissolved partnership, regardless of the circumstance, the license shall remain in the sole possession of the original Licensee. Additional license(s) will be needed for the parting partner(s). 3. PROHIBITIONS The following is strictly prohibited: a. Transfer of OYB and Activation Key to any individual outside the definition above; b. Printing of electronic documentation by any individual outside the definition above; c. Copying, Reproduction, Distribution or Storage in a retrieval device of CDROM and its contents; d. Removal or any action that infringes the trademarks or copyrights of all intellectual property; e. Assign or License this content; f. Train or assist other investment professionals with this content unless a written corporate license is obtained. As a Licensee you must prevent any unauthorized use, copying or disclosure of OYB or any of its components. Failure to comply with any provisions will result in immediate termination of license. Licensor reserves and shall have all legal remedies. 4. LIMITED WARRANTY AND DISCLAIMER Licensor warrants that, for a period of sixty (60) days after delivery, the CDROM of OYB will, under normal use, be free from defects in material and workmanship. Licensee's exclusive remedy and the entire liability of Licensor for any defect shall be the replacement of any such CDROM returned to Licensor within sixty (60) days after delivery. 5. LIMITATION OF LIABILITY Licensor makes no warranties of any kind, either expressed or implied, that OYB or any of its components, have been approved, sponsored or sanctioned by any firm, organization or regulatory authority. As a Licensee, you understand and agree that you are responsible for obtaining any compliance approval by your firm or regulatory authorities (state or federal) that may be required to use OYB or any of its components. In addition, you understand and agree that you will bear full responsibility for any damages that may arise from using OYB or any of its components without obtaining any such approvals. BUILDING AND MANAGING A SUCCESSFUL INVESTMENT MANAGEMENT CONSULTING PRACTICE DEPENDS ON MANY FACTORS, MOST IF NOT ALL ARE OUTSIDE OF THE CONTROL OF LICENSOR. FOR THIS REASON, OYB AND ALL OF IT COMPONENTS ARE SUPPLIED TO YOU "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. THE LICENSOR DOES NOT WARRANT THAT THE FUNCTIONS OF OR INFORMATION THAT COMES WITH OYB WILL MEET YOUR REQUIREMENTS OR THAT THE OPERATION OF OYB WILL BE UNINTERRUPTED OR ERROR-FREE. NEITHER THE LICENSOR, NOR ANY OF ITS AGENTS, SHALL BE LIABLE TO THE LICENSEE OR ANY OTHER PERSON OR ENTITY FOR ANY LOSS OR INJURY CAUSED IN PART OR IN WHOLE BY RELIANCE, INCLUDING USE OR INTERPRETATION, ON OYB. LICENSOR SHALL NOT BE RESPONSIBLE OR LIABLE FOR ANY DECISIONS OR ACTIONS TAKEN BY LICENSEES, THEIR EMPLOYEES, ASSOCIATES OR CLIENTS, IN RELIANCE ON OYB. THIS INCLUDES ANY CONSEQUENTIAL DAMAGES, OR OTHER SIMILAR DAMAGES, EVEN IF THE LICENSEE HAS ADVISED LICENSOR OF THE POSSIBILITY OR PROBABILITY OF SUCH DAMAGES. IN SHORT, ALL RISK FOR QUALITY AND PERFORMANCE RESTS WITH YOU. YOU UNDERSTAND THAT OYB IS DESIGNED FOR AND INTENDED TO BE USED BY A FINANCIAL INVESTMENT PROFESSIONAL, EXERCISING THE JUDGMENT OF SUCH A PROFESSIONAL. BY EXECUTING THIS AGREEMENT, YOU HEREBY WARRANT THAT YOU ARE A FINANCIAL INVESTMENT PROFESSIONAL. 6. GENERAL This agreement will be governed by the laws of the State of Georgia, USA. Notices to Licensor shall be sent to: Paragon Resources, Inc., P.O. Box 724705, Atlanta, GA 31139, USA. Notices to Licensee shall be sent to the original delivery address of OYB or to such other address as either party may from time to time designate in writing. I agree to the License Agreement.
